Mr. Zoha Sirhindi is a corporate and tax counsel, admitted to the bar in the US, UK and Pakistan, with 15 years of professional experience as a successful trouble shooter and risk mitigator.
He has acted for and advised numerous local and international companies and financial institutions on a wide array of matters including commercial agreements, mergers and acquisitions, private equity, investments, banking and finance, capital markets, project financing, corporate governance, due diligence, regulatory, secretarial and tax compliance. Some of his notable transactions include acting for the International Finance Corporation in relation to the re-organisation of the Engro group of companies in 2009; acting for Excelerate Energy (US) in connection with Pakistan’s first LNG project; acting for China Development Bank in relation to a US$ 640 million financing for the acquisition of BP’s petroleum assets in Pakistan; and acting for the Joint Lead Managers (Barclays Bank PLC, Citigroup Global Markets Limited, DeutscheBank AG and Merrill Lynch International) in relation to Pakistan’s US$2 Billion sovereign Eurobond offering in March 2014 (the largest capital markets transaction in Pakistani history at the time) and Pakistan’s US$1 Billion Ijarah Sukuk offering in November 2014.

Ms. Anum Bawany is a corporate counsel with extensive professional experience and has previously worked in some of the leading law firms in Karachi. She has advised corporate clients on matters relating to inter alia corporate & regulatory compliance, mergers & acquisitions, anti-competitive action, labour, trademarks, construction and foreign exchange regulation. She has also worked on large scale infrastructure transactions with a key focus on engineering and regulation of the power sector in Pakistan and is experienced in drafting and negotiating various kinds of contracts including contracts pertaining to engineering, construction, operation & maintenance, consultancy services and property.
Some of her notable transactions include inter alia acting for Siddiqsons Energy Limited in relation to the development of a 350 MW coal-fired power project to be established at Port Qasim, Karachi; acting for Sindh Nooriabad Power Companies in relation to the development of two 50MW gas fired power projects being set up under a public private partnership in Nooriabad, Sindh; acting for the Works & Services Department, Government of Sindh in relation to the construction and rehabilitation of the existing two lane road connecting Hyderabad to Tando Muhammad Khan under the public private partnership mode and acting for a consortium of foreign lenders in relation to the construction of two 660MW coal-fired power plants in Sahiwal, Punjab.
She has also assisted senior partners previously in conducting a due diligence for Clifford Chance LLP, Beijing, the international legal advisor to China Southern Grid International (HK) Limited for the acquisition of KES Power Limited/K-Electric Limited; and in conducting a due diligence for ICI Pakistan Limited for the acquisition of Linde Pakistan Limited held by BOC Group Limited.
Ms. Bawany has previously held positions at leading law firms as an Associate at both FGE Ebrahim Hosain (Barristers, Advocates & Corporate Legal Consultants) and RIAA Barker Gillette,and as a Senior Associate at MCAS&W LawAssociates (Attorneys, Barristers and Advocates).
